DSD PAY

Terms and conditions

Last updated September 23, 2026

These Terms and Conditions govern access to and use of DSD PAY merchant services, payment links, dashboards, APIs, and related products. By creating an account, accessing a dashboard, or using a payment link, you agree to these Terms.

1. Who we are and what these Terms cover

DSD PAY provides technology that helps businesses create merchant profiles, receive payment requests, use payment links and QR codes, review transactions, manage team access, and connect approved payment providers. DSD PAY is not a bank, deposit-taking institution, foreign-exchange dealer, or card scheme unless expressly identified as such in a separate agreement.

These Terms apply to merchants, their authorised representatives, team members, developers, payers using a public payment page, and visitors to the website. Provider-specific terms may also apply when a payment rail or third-party service is selected.

2. Eligibility and account registration

You must be legally capable of entering a contract and must provide complete, accurate, and current information. A business must be authorised to operate in the jurisdictions and industries it declares. We may request identity, ownership, registration, tax, source-of-funds, or other verification information before enabling particular features.

You are responsible for keeping your email address, phone number, password, transaction PIN, API credentials, and device approvals secure. Never share secret keys or one-time codes. You must notify us promptly if credentials are lost, disclosed, or used without permission.

3. Merchant approval and compliance

Sandbox access does not guarantee approval for live processing. Live access, settlement, limits, and payment methods may depend on review, risk assessment, licensing, provider availability, and applicable law. We may delay, reject, suspend, or limit activity to comply with law, sanctions controls, fraud prevention, responsible finance, or provider rules.

You must not use DSD PAY for unlawful goods or services, fraud, money laundering, terrorist financing, sanctions evasion, deceptive practices, adult sexual services, illegal gambling, or any activity prohibited by the applicable provider or jurisdiction.

4. Payments, authorisations, and reversals

A payment request is not final until the relevant payment provider confirms it. Displayed amounts, fees, exchange rates, and statuses may change until confirmation. You must provide accurate descriptions and references and must not misrepresent the recipient, price, product, or purpose of a transaction.

Payments may be declined, reversed, refunded, disputed, held, or delayed. A dashboard status is informational and does not replace a provider settlement record. You remain responsible for fulfilling valid customer obligations and resolving disputes with your customers.

5. Fees, settlements, and records

Fees are shown in the applicable pricing page, checkout, dashboard, order, or commercial agreement. You authorise DSD PAY and relevant providers to deduct applicable fees, adjustments, refunds, chargebacks, taxes, and other amounts from available balances or future settlements.

You are responsible for reconciling your records and retaining invoices and evidence required by law. Settlement timing depends on verification, provider cut-offs, weekends, holidays, risk reviews, and network availability.

6. Team members and delegated access

The merchant owner is responsible for inviting only authorised people, selecting appropriate roles, reviewing activity, removing access promptly, and protecting temporary credentials. Team members may only use access for the merchant’s legitimate business purposes and within their assigned permissions.

The merchant is responsible for actions taken through its account by an authorised team member unless the merchant has promptly reported unauthorised access.

7. APIs, keys, webhooks, and integrations

API keys are confidential credentials. Store them in a secrets manager, do not commit them to source control, and rotate them if exposed. You must verify webhook signatures, handle duplicate events idempotently, protect callback endpoints, and avoid putting sensitive information in URLs or logs.

You may not reverse engineer, overload, scan, bypass rate limits, interfere with security controls, or use the API to build an unauthorised competing service.

8. Intellectual property and acceptable use

DSD PAY and its licensors retain rights in the platform, software, documentation, branding, designs, and service data generated by us. We grant you a limited, non-exclusive, revocable right to use the service while your account is in good standing.

You retain rights in content you submit, but grant us the rights needed to host, process, secure, display, and improve the service. You must not copy branding, scrape the platform, introduce malware, test vulnerabilities without written permission, or attempt to access another account.

9. Suspension, closure, and data retention

We may suspend or restrict access immediately where reasonably necessary for security, legal compliance, suspected fraud, non-payment, provider requirements, or material breach. Where practical, we will provide notice and an opportunity to resolve the issue.

You may request closure, but pending transactions, disputes, legal holds, reconciliation, and regulatory retention obligations may continue. Closing an account does not cancel amounts owed or obligations that by their nature survive closure.

10. Disclaimers and liability

The service is provided on an availability basis and may be interrupted for maintenance, security events, network failures, provider outages, or events outside our reasonable control. We do not guarantee uninterrupted access, a particular exchange rate, approval, settlement time, or business result.

To the maximum extent permitted by law, DSD PAY is not liable for indirect, incidental, special, consequential, or loss-of-profit damages, or for losses caused by inaccurate information, compromised credentials, customer conduct, provider failures, or unlawful use. Nothing limits liability that cannot lawfully be limited.

11. Unauthorised transactions and investigations

If you believe a transaction was unauthorised, incorrect, or fraudulent, notify DSD PAY immediately through the official support channel with the transaction reference and details. We may investigate by contacting the counterparty, bank or mobile-money provider, and, where appropriate, law enforcement. Investigation and reimbursement timeframes depend on the transaction and applicable law; prompt reporting improves the chance of recovery, but recovery is not guaranteed once funds have been withdrawn.

12. Disclaimers and limitation of liability

The Service is provided on an “as available” basis and may be interrupted for maintenance, security events, network failures, or events outside our reasonable control, including outages of banking or mobile-money partners. We do not guarantee uninterrupted access, a particular exchange rate, transaction approval, or settlement time.

To the maximum extent permitted by applicable law, DSD PAY is not liable for indirect, incidental, special, consequential, or loss-of-profit damages, or losses arising from inaccurate information, compromised credentials due to your actions, other users, or third-party provider failure. Nothing limits liability that cannot lawfully be excluded, including liability for our own fraud or gross negligence and mandatory consumer rights.

13. No financial, legal, tax, or investment advice

DSD PAY provides payment and wallet technology; it does not provide personal financial, investment, legal, tax, accounting, lending, or regulatory advice. Balances, exchange-rate estimates, fee calculations, and in-app insights are informational only and are not a substitute for independent professional advice or your own records.

14. Indemnity and dispute resolution

You agree to indemnify and hold DSD PAY, its officers, employees, and partners harmless from claims, losses, or expenses arising from your breach of these Terms, violation of applicable law, or misuse of the Service, except to the extent caused by DSD PAY’s own breach, fraud, or negligence.

These Terms are subject to the laws applicable in the jurisdiction governing your use of the Service. Disputes should first be raised through official DSD PAY support for good-faith resolution, without prejudice to mandatory consumer, payment, privacy, or regulatory rights.

15. Changes and contact

We may update these Terms to reflect product, legal, security, or operational changes. We will publish the updated version with a revised effective date and provide additional notice or consent where required by law. Continued use after the effective date means you accept the updated Terms to the extent permitted by law.

Questions, complaints, and notices should be sent through the official DSD PAY support channel. This document is general product information and is not legal, tax, financial, or regulatory advice. DSD PAY should obtain independent counsel in each jurisdiction where it operates, including Uganda and Guinea.
